By completing the eQuote360.com Supplier Registration ("Registration") or using eQuote360.com supplier services, the person or entity named in the Registration ("Supplier" or "Company") agrees to the following Terms of Service. These Terms, together with the Registration, comprise the entire Agreement ("Agreement") between the Company and eQuote360.com ("eQuote360," "we," "us," or "our").
1. Platform Service Description
1.1 Connection Platform
eQuote360.com operates as a digital connection platform that facilitates relationships between buyers seeking metal building solutions, building permits, and related services with qualified suppliers across Canada and the United States.
IMPORTANT: eQuote360.com is exclusively a connection platform and does not provide, perform, guarantee, or oversee any actual construction work, metal building supply, building permit services, or professional services.
1.2 Supplier Database Inclusion
eQuote360.com authorizes the inclusion of qualified suppliers in its database, accessible to verified buyers through the eQuote360.com platform. By submitting the Registration, the Company requests inclusion of its business information ("Profile") in our supplier database.
eQuote360.com reserves the right to:
- Refuse any registration request
- Remove any Profile for failure to meet obligations
- Modify database structure or presentation at any time
- Set qualification standards for supplier inclusion
1.3 Profile Requirements
The Profile will consist of information provided in the Registration including:
- Business contact information and credentials
- Service areas and capabilities
- Licensing and certification details
- Sample work or portfolio items
- Business background and experience
The Company agrees to provide true, accurate, current, and complete information. Failure to provide accurate information may result in account denial, suspension, or termination.
2. Lead Generation and Connection Services
2.1 Quote Requests and Leads
After Profile activation, eQuote360.com will provide access to buyer quote requests ("Leads") through the platform based on:
- Geographic service area specified in Registration
- Service categories and capabilities listed
- Current subscription level and lead allocation
- Lead availability and supplier selection criteria
2.2 Lead Information
Leads will contain relevant buyer information including:
- Contact details (name, phone, email, address)
- Project specifications and requirements
- Timeline and budget parameters
- Special requirements or preferences
2.3 Lead Response Requirements
The Company agrees to:
- Respond to all purchased or assigned Leads within 24 hours
- Provide professional, complete quote responses
- Contact buyers only for purposes directly related to the Lead
- Maintain professional communication standards
- Not use Lead information for unrelated marketing purposes
2.4 Lead Distribution and Competition
eQuote360.com reserves the right to:
- Distribute the same Lead to multiple suppliers (typically 3-5 per Lead)
- Use algorithms to match suppliers with appropriate Leads
- Prioritize Lead distribution based on subscription levels
- Modify distribution methods to improve buyer experience
2.5 Prohibited Activities
The Company may not:
- Distribute, resell, or share Leads with third parties
- Submit fake quote requests to access competitor information
- Use Lead contact information for unrelated marketing
- Misrepresent capabilities or service areas to receive inappropriate Leads
- Cross-sell unrelated products or services through Lead responses
3. Subscription Plans and Lead Fees
3.1 Service Tiers
eQuote360.com offers various service levels including:
Basic Plan:
- Limited Lead access
- Standard profile listing
- Basic customer support
Professional Plan:
- Enhanced Lead allocation
- Priority profile placement
- Advanced analytics and reporting
- Priority customer support
Premium Plan:
- Maximum Lead access
- Featured profile positioning
- Advanced matching algorithms
- Dedicated account management
3.2 Lead Fees
Suppliers may purchase individual Leads on a pay-per-lead basis:
- Lead fees vary by project size, location, and complexity
- Fees are charged immediately upon Lead access
- No refunds for successfully delivered Lead information
- Volume discounts may be available for high-usage suppliers
3.3 Billing and Payment
- Monthly subscription fees charged in advance
- Lead fees charged immediately upon access
- All fees charged to payment method specified in Registration
- Pre-authorization may be obtained for recurring charges
- Accurate billing information must be maintained
3.4 Payment Method Requirements
- The Company must provide valid credit card or payment account information
- Report changes to payment information within 3 business days
- Maintain sufficient credit/funds for subscription and Lead fees
- Resolve payment failures within 7 days of notification
4. Lead Quality and Credits
4.1 Lead Quality Standards
eQuote360.com strives to provide high-quality Leads that:
- Contain accurate buyer contact information
- Match supplier's specified service areas and capabilities
- Represent legitimate project requirements
- Include sufficient detail for meaningful quotes
4.2 Credit Eligibility
The Company's account may be credited for Lead fees when a Lead:
- Contains incorrect or non-functional contact information
- Falls outside specified service territory
- Does not match registered service categories
- Is submitted by competitors or non-legitimate buyers
- Is delivered more than 48 hours after buyer submission
4.3 Credit Request Process
To request Lead credits:
- Account must be current with no past due balances
- Request must be submitted within 7 days of Lead access
- Must include Lead reference number and reason for credit
- Supporting documentation may be required
- Credit decisions will be communicated within 3 business days
4.4 Credit Processing
- Approved credits processed immediately to account balance
- Credits can be applied to future subscription fees or Lead purchases
- Credits expire 12 months from issue date
- Cash refunds not available - account credits only
5. Account Management and Term
5.1 Account Activation
- Account activation occurs upon approval of Registration
- Initial subscription period begins on activation date
- Lead access begins immediately upon account funding
5.2 Subscription Terms
- Monthly subscriptions: Auto-renewal on monthly anniversary
- Annual subscriptions: Auto-renewal on annual anniversary
- 30-day notice required for subscription cancellation
- Service continues through end of paid period after cancellation
5.3 Account Termination
By eQuote360.com:
- Immediate termination for Terms violation
- 30-day notice for business reasons
- No refunds for termination due to Terms violation
By Supplier:
- 30-day written notice required for voluntary termination
- Service continues through end of current billing period
- No refunds for unused subscription time
- Final billing occurs at termination
5.4 Post-Termination
Upon termination:
- Platform access ends immediately
- No further Leads will be provided
- Existing buyer relationships may continue independently
- Outstanding fees remain due and payable
6. Intellectual Property and Branding
6.1 eQuote360.com Brand Usage
The Company may:
- Reference eQuote360.com as Lead source when contacting buyers
- Use "eQuote360.com Verified Supplier" designation if applicable
- Display eQuote360.com badges or certifications if provided
The Company may not:
- Use eQuote360.com logo or branding for general marketing
- Suggest endorsement by or partnership with eQuote360.com
- Imply agency relationship with eQuote360.com
- Use eQuote360.com intellectual property without permission
6.2 Supplier Content License
By submitting content to eQuote360.com, the Company grants:
- Non-exclusive license to display business information
- Right to use company name, logo, and sample work images
- Permission to use testimonials and reviews for marketing
- Right to modify presentation format for platform consistency
7. Representations and Warranties
7.1 Business Representations
The Company represents and warrants:
- All Registration information is accurate and complete
- Company is legally authorized to provide listed services
- Holds all required licenses, permits, and insurance
- Will maintain good standing and professional reputation
- Has right to use all submitted intellectual property
7.2 Service Capabilities
The Company warrants:
- Ability to perform all services listed in Registration
- Coverage of all specified geographic service areas
- Maintenance of professional standards and quality
- Compliance with applicable building codes and regulations
- Proper licensing in all operating jurisdictions
7.3 Legal Compliance
The Company agrees to:
- Comply with all applicable laws and regulations
- Maintain required professional licenses and certifications
- Carry appropriate insurance coverage
- Handle buyer information in compliance with privacy laws
- Report any material changes affecting service capability
8. Disclaimers and Limitations
8.1 Platform Service Disclaimers
eQuote360.com provides connection services on an "AS IS" basis and disclaims:
- Warranties regarding Lead quality or buyer commitment
- Guarantees about project conversion rates or success
- Responsibility for buyer creditworthiness or payment
- Control over buyer decision-making or selection process
- Warranties about platform uptime or technical performance
8.2 Lead Quality Limitations
eQuote360.com cannot guarantee:
- Buyer will proceed with quoted projects
- Buyer has necessary funds or approvals
- Projects will meet supplier's minimum requirements
- Absence of competition from other suppliers
- Buyer responsiveness to supplier communications
8.3 Platform Operation
eQuote360.com reserves the right to:
- Modify platform features and functionality
- Change Lead distribution algorithms
- Update subscription plans and pricing
- Implement new quality control measures
- Suspend service for maintenance or upgrades
9. Limitation of Liability
9.1 Liability Exclusions
eQuote360.com and its directors, officers, employees, and agents shall not be liable for:
- Lost business opportunities or profits
- Buyer failure to award projects or make payments
- Technical issues affecting Lead delivery or access
- Competitive losses to other platform suppliers
- Direct, indirect, consequential, or punitive damages
9.2 Maximum Liability
Total liability of eQuote360.com for all claims shall not exceed the amount of fees paid by the Company during the 12 months preceding the claim.
9.3 Business Relationship Disclaimer
- eQuote360.com is not party to supplier-buyer agreements
- All business relationships are exclusively between suppliers and buyers
- Payment terms and project performance are supplier-buyer responsibilities
- Dispute resolution between suppliers and buyers is handled independently
10. Indemnification
The Company agrees to indemnify and hold harmless eQuote360.com and its directors, officers, employees, and agents from:
- Claims arising from supplier's services or work performance
- Disputes with buyers connected through the platform
- Violations of laws or regulations by supplier
- Breach of these Terms or misrepresentation of capabilities
- Intellectual property infringement claims
- Employment or contractor disputes related to supplier's business
11. Data Protection and Privacy
11.1 Buyer Information Use
The Company agrees to:
- Use buyer contact information solely for quoting and project-related purposes
- Comply with applicable privacy and data protection laws
- Not share buyer information with unauthorized third parties
- Maintain reasonable security for buyer data
- Delete buyer information if requested (subject to business record requirements)
11.2 Platform Data
eQuote360.com may:
- Collect and analyze supplier performance data
- Use aggregated data for platform improvement
- Share anonymized industry statistics
- Implement tracking and analytics tools
- Monitor communications for quality assurance
12. Miscellaneous Provisions
12.1 Independent Contractor Relationship
- Company and eQuote360.com are independent contractors
- No agency, partnership, or employment relationship exists
- Each party responsible for own taxes and legal compliance
- No authority to bind the other party to obligations
12.2 Governing Law and Jurisdiction
- Agreement governed by laws of Ontario, Canada
- Disputes resolved in courts of Toronto, Ontario
- International suppliers subject to local laws for service delivery
- Consumer protection laws may provide additional rights
12.3 Force Majeure
Neither party liable for delays or failures due to:
- Natural disasters or extreme weather
- Government actions or regulatory changes
- Internet or telecommunications failures
- Acts of war or terrorism
- Other circumstances beyond reasonable control
12.4 Assignment and Modification
- Agreement may not be assigned without written consent
- eQuote360.com may assign rights to affiliates or successors
- Terms may be modified with 30-day notice to suppliers
- Continued use after modifications indicates acceptance
12.5 Severability and Survival
- Invalid provisions severed without affecting remainder
- Indemnification and liability limitations survive termination
- Payment obligations survive termination
- Confidentiality and intellectual property provisions survive
