Terms of Service

These Terms of Service ("Terms") govern your access to and use of eQuote360, operated by [Legal Entity Name — insert your registered business name/number here] ("eQuote360", "we", "us", or "our"). By accessing or using the Service, creating an account, submitting a supplier application, or submitting a quote request, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & Accepting These Terms

You must be at least 18 years old and capable of forming a binding contract under the laws of Ontario to use the Service. By using the Service, you represent that you meet these requirements and that all information you provide is accurate. Account creation, supplier applications, and guest quote requests each require you to affirmatively check a box confirming you have read and agree to these Terms and our Privacy Policy before the action can be submitted — that acceptance is a condition of using the Service, not a formality.

2. What eQuote360 Is (and Isn't)

eQuote360 is an online platform that connects homeowners and property owners ("Clients") with independent trade businesses ("Suppliers") across the Greater Golden Horseshoe region. eQuote360:

• is not a contractor, builder, tradesperson, broker, agent, or party to any agreement formed between a Client and a Supplier;
• does not perform, supervise, inspect, guarantee, warrant, or insure any work performed by a Supplier;
• does not guarantee the accuracy, completeness, or truthfulness of any lead, project detail, quote, message, license claim, insurance claim, or other information submitted by any Client or Supplier;
• does not guarantee that any Client will be matched with a Supplier, receive a quote, or receive a quote within any particular time;
• does not verify licensing, insurance, WSIB coverage, or workmanship on an ongoing basis beyond the initial application review described in Section 4; and
• acts solely as a venue that facilitates introductions and communication between Clients and Suppliers, who remain solely responsible for any agreement, work, payment, or dispute between them.

3. No Responsibility for Leads, Work, or Money Between Users

This section is central to what eQuote360 is, and every user — Client, Supplier, or guest — agrees to it as a condition of using the Service:

• Leads and information. eQuote360 relays information submitted by users but does not create, verify, or vouch for it. We are not responsible for a "wrong," inaccurate, incomplete, fraudulent, or low-quality lead, quote, or profile submitted by any user, whether Client, Supplier, or guest.
• Work performed. Any work, service, estimate, or project undertaken as a result of a connection made through the Service is an agreement solely between the Client and the Supplier. eQuote360 has no responsibility for the quality, safety, legality, timeliness, or outcome of that work, and is not liable for any property damage, personal injury, delay, or defect arising from it.
• Money and payment. eQuote360 does not process, hold, guarantee, mediate, or have any involvement in payments, deposits, invoices, refunds, or other financial transactions between a Client and a Supplier. All such transactions occur entirely outside the Service and at the parties' own risk. eQuote360 is not liable for non-payment, overpayment, deposit loss, billing disputes, or fraud arising from any such transaction.
• No commitment created by the Service. Matching, messaging, or exchanging quotes through the Service does not create any obligation, commitment, or contract between a Client and a Supplier, and does not create any obligation or commitment by eQuote360 to either party. A binding commitment, if any, exists only in a separate agreement the Client and Supplier choose to enter directly with each other.
• Assumption of risk. You acknowledge that any decision to communicate with, hire, contract with, pay, or perform work for another user is made at your own risk and based on your own independent judgment, and that eQuote360's role is limited to facilitating an initial introduction.

4. For Clients

Requesting a quote through the Service is free and creates no obligation to hire any Supplier. You are solely responsible for independently vetting any Supplier — including confirming licensing, insurance, WSIB status, references, and pricing — before entering into any agreement with them. Any contract for work, and any payment made under it, is strictly between you and the Supplier; eQuote360 is not a party to it, has no obligation under it, and assumes no liability arising from it, as described in Section 3. Information you submit (project details, contact information, photos) will be shared with matched Suppliers as described in our Privacy Policy.

5. For Suppliers

Supplier accounts are subject to an application and approval process. By applying, you represent and warrant that:

• you hold any license, certification, insurance, and WSIB coverage that applicable law requires for the trade(s) and municipalities you offer services in, and will maintain them for as long as your account is active;
• all information in your application, profile, and quotes is accurate and not misleading;
• you are an independent business — you are not an employee, agent, partner, joint venturer, or franchisee of eQuote360, and nothing in these Terms creates such a relationship;
• you are solely responsible for the accuracy of your quotes, the quality, legality, and safety of your work, compliance with all applicable federal, provincial, and municipal law, and your own tax, insurance, and employment obligations; and
• you will not use information obtained through the Service for any purpose other than responding to the specific request it relates to.

We reserve the right to approve, decline, suspend, or remove any Supplier account at our sole discretion, including where we believe a representation above is inaccurate. Approval of a Supplier application, or display of a Supplier on the Service, is not a warranty, endorsement, or guarantee by eQuote360 of that Supplier's licensing, insurance, competence, or the truthfulness of any representation they make.

6. Fees

Use of the Service is currently provided free of charge to Clients and Suppliers. We reserve the right to introduce fees (for example, a per-lead or subscription fee for Suppliers) in the future. If we do, we will provide reasonable advance notice, and continued use of the Service after any fee takes effect constitutes acceptance of it. [Confirm your intended pricing model and notice period with counsel before launch if fees are planned within the first contract cycle.]

7. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at info@equote360.com of any unauthorized use. We are not liable for any loss arising from your failure to safeguard your credentials.

8. Prohibited Conduct

You agree not to:

• misrepresent your identity, licensing, insurance, credentials, or the nature of a project or quote;
• circumvent the Service to avoid applicable fees once fees are in effect;
• scrape, harvest, or use automated means to extract data from the Service;
• harass, threaten, or send unsolicited commercial communications to another user obtained through the Service;
• upload content that infringes another party's intellectual property or is unlawful, defamatory, or fraudulent; or
• interfere with the operation or security of the Service, or attempt to gain unauthorized access to any account or system.

Violation of this section may result in suspension or termination of your account and, where applicable, referral to law enforcement.

9. User Content

You retain ownership of content you submit (project details, photos, quotes, messages, profile information). By submitting content, you grant eQuote360 a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service (for example, showing your quote to the relevant Client). You represent that you have the right to submit any content you provide, and that it does not violate Section 3's assurance that we may rely on you for its accuracy.

10. Intellectual Property

The Service, including its design, text, graphics, logos, and underlying software, is owned by eQuote360 or its licensors and protected by Canadian and international intellectual property law. Except for the limited right to use the Service as intended, no license or right is granted to you in our intellectual property.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE ONTARIO CONSUMER PROTECTION LAW. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any lead, Supplier, or Supplier's work will meet your expectations or any particular standard.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EQUOTE360 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY LEAD OR INFORMATION EXCHANGED THROUGH IT, OR ANY WORK, AGREEMENT, PAYMENT, OR DISPUTE BETWEEN A CLIENT AND A SUPPLIER — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO EQUOTE360 IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) CAD $100. This limitation applies to the maximum extent permitted by law and does not exclude liability that cannot be excluded or limited under applicable Ontario consumer protection legislation, including liability for gross negligence or willful misconduct.

13. Indemnification

You agree to indemnify and hold harmless eQuote360 and its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Service; (c) any lead, quote, or other information you submitted that was inaccurate, incomplete, or misleading; (d) any work, agreement, payment, or dispute between you and another user, as described in Section 3; or (e) your violation of any law or the rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or exposes us to liability. You may stop using the Service or request account deletion at any time by contacting us.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any right you have under applicable consumer protection legislation to bring a claim in another forum, you and eQuote360 agree that any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ontario.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date, and for material changes we will provide reasonably prominent notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. General

• Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: we may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign your rights under these Terms without our consent.
• Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and eQuote360 regarding the Service.
